Terms of Service
These Terms govern your access to and use of Worklane, a SaaS workspace that helps you send proposals, schedule follow-ups, and issue invoices with Razorpay/UPI options. By creating an account or using the product, you agree to these Terms.
Plain speak: you own your data; we process it only to run and improve the features you turn on.
- 1) Who we are. Worklane is a SaaS workspace that helps you send proposals, schedule follow-ups, and issue invoices, including Razorpay and UPI payment options.

2) Account & eligibility. You must be legally capable of entering into contracts. You are responsible for:
- Keeping your login credentials secure.
- Invited users and their actions in your workspace.
- The accuracy of client, pricing, and tax data you enter.

3) Your use of Worklane. You agree to:
- Use the product only for lawful business purposes.
- Not harass, spam, or mislead recipients.
- Follow applicable consent and communication laws (for example, IT Rules/TRAi in India, CAN-SPAM where applicable).

4) Messaging & anti-spam. You control recipient lists and cadences. Worklane provides tools such as pause-on-reply and business-hours scheduling, but you remain responsible for:
- Having a lawful basis to contact each recipient.
- Providing unsubscribe / opt-out where required.
- Registering sender IDs and templates where telecom rules require it.

5) Payments & billing.
- Subscription fees are billed in advance per billing cycle.
- Fees are non-refundable for the current billing period, unless required by law or explicitly stated otherwise.
- Worklane is not a payment processor. Razorpay/UPI and other integrated providers process payments and settle funds to your accounts.
- You are responsible for all taxes, including GST, that apply to your use of Worklane.

6) No GST e-filing or professional advice.
- Worklane does not file GST returns or other regulatory filings on your behalf.
- Content, templates, and reports are for workflow assistance only and do not constitute tax, legal, or accounting advice.

7) Data & integrations.
- You own your content and client data.
- You grant Worklane a limited, revocable license to host, process, and transmit that data solely to provide and improve the service.
- By enabling integrations (for example, Razorpay, email providers), you authorize us to exchange data with those services as needed.
- 8) Confidentiality. Each party must protect the other’s non-public information using reasonable technical and organizational safeguards and may use it only to provide or receive the service.
- 9) Service availability. We aim for high availability but do not guarantee uninterrupted service. Maintenance windows, third-party outages, and internet issues may affect access. Any separate SLA will apply only if agreed in writing.

10) Intellectual property.
- Worklane owns all rights in the platform, including UI, features, and documentation, except for your content and third-party marks.
- You may not reverse engineer, copy, resell, or frame Worklane except as permitted by law or by written permission.
- 11) Beta and experimental features. Beta features are provided “as is”, may change or be withdrawn at any time, and may be less stable than main features.

12) Indemnity (your responsibility). You will indemnify Worklane against third-party claims that arise from:
- Your illegal use of the service,
- Your failure to obtain required consents, or
- Your misuse of recipient data.

13) Limitation of liability. To the maximum extent permitted by law:
- Worklane is not liable for indirect, incidental, or consequential damages.
- Worklane’s total aggregate liability for all claims in any 3-month period is limited to the fees you paid to Worklane for that period.

14) Term, suspension, and termination.
- You may cancel at any time through the product or by contacting support.
- We may suspend or terminate access for non-payment, suspected abuse, security risk, or legal/institutional requirement.
- After termination, we may retain logs for legal and security reasons, but will provide exports of your core data for at least 30 days where feasible.
- 15) Governing law & disputes. These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Courts in [City, State, India] will have exclusive jurisdiction, subject to any mandatory consumer laws that apply to you.
- 16) Changes to these Terms. We may update these Terms from time to time. Material changes will be notified in the app or by email. Continued use of Worklane after changes become effective means you accept the updated Terms.

Feature-Specific Rules
- Follow-ups & anti-spam. Use opt-in lists, include opt-out where required, and comply with local rules (IT Rules/TRAi in India, CAN-SPAM where applicable).
- Bookmarklets & universal inbox. Capture only data you’re entitled to store. Do not ingest third-party secrets without authorization.
- Audit trail. Drafts, sends, follow-ups, Won/Lost, invoices, and payment matches are logged for accountability.
- Business-hours scheduling. Sends queue to your configured window to avoid off-hour messages.
- Exports. CSV/Excel exports are for your internal use. You are responsible for securing any exported files.
Privacy Policy
This Policy explains what we collect, why, how we use it, and your choices. It applies to Worklane websites, app, and integrations.
We minimize data, encrypt in transit, and log sensitive actions for accountability.
- 1) Scope. This Policy covers personal data we collect through the Worklane website, app, and connected integrations when you use our services for business purposes.

2) Data we collect.
- Account data: name, email, organization, billing details.
- Workspace data: leads and clients, proposals, invoices, notes, timelines, follow-up content, statuses.
- Payment metadata: invoice IDs, payment status, references from providers like Razorpay. We do not store full card or UPI credentials.
- Technical data: log data, IP address, device and browser type, pages viewed, timestamps, and cookie identifiers.

3) How we collect it.
- Directly from you and your teammates when you sign up or use Worklane.
- From integrations you connect (for example, payment providers, email).
- From your use of bookmarklets or “universal inbox” capture features.
- Automatically through cookies and similar technologies on our website and app.

4) Why we use your data. We use personal data to:
- Provide, secure, and maintain the Worklane service.
- Generate proposals, schedule follow-ups, and issue invoices.
- Reconcile payments and display payment history.
- Provide support, troubleshoot issues, and improve features.
- Send important service messages and, where permitted, product updates or marketing (with an option to unsubscribe).
- Meet legal, accounting, and compliance requirements.

5) Legal basis. Where data protection laws apply (for example, India’s Digital Personal Data Protection law or similar), we rely on:
- Performance of a contract (to provide the service you signed up for).
- Legitimate interests (to secure and improve Worklane, prevent abuse, and support customers).
- Your consent (for certain cookies, marketing, or optional features where required).

6) Sharing and sub-processors.
- We use vetted service providers for hosting, email delivery, logging, analytics, and payments.
- These providers act as processors and may only use your data to provide their services to us.
- We do not sell personal data.
- 7) Security. We use TLS in transit, access controls, least-privilege permissions, and activity logging for sensitive operations. No online system is 100% secure, but we work to reduce risk and respond to incidents.
- 8) International transfers. Your data may be processed in countries other than your own. Where required, we use contractual safeguards or equivalent mechanisms to protect such transfers.

9) Retention. We keep personal data for as long as:
- Your account is active, or
- We have a business or legal need to do so (for example, fraud prevention, accounting, legal obligations).
When no longer needed, we delete or anonymize it, subject to backup and legal requirements.

10) Your rights. Depending on your location, you may have rights to:
- Access and obtain a copy of your personal data.
- Request correction or deletion of inaccurate or outdated data.
- Object to or restrict certain processing.
- Withdraw consent where processing is based on consent.

- 11) Cookies. We use cookies and similar technologies for login, security, and analytics. You can manage cookies through your browser settings and, where available, in-app preferences.
- 12) Children. Worklane is not directed to individuals under 18. We do not knowingly collect personal data from children.
- 13) Changes to this Policy. We may update this Policy from time to time. We will update the “Effective date” at the top and may provide additional notice for material changes.

Security & Compliance
- 1) Access & authentication. Role-based access controls (RBAC) limit access to workspace data. Admin users manage invitations and roles inside Worklane.
- 2) Encryption. All app and API traffic uses TLS encryption in transit. Sensitive secrets (for example, API keys, webhooks) are stored using industry-standard secret management where supported.
- 3) Logging & audit trails. Key events (drafts, sends, follow-ups, status changes, invoice creation, payment updates) are logged to support debugging, audits, and security reviews.
- 4) Payments. Payment pages and credentials are handled by providers like Razorpay/UPI. Worklane stores only references (invoice ID, amount, status, provider reference) and does not store full card or UPI credentials.
- 5) Backups & continuity. We maintain regular backups of core production data and aim for reasonable recovery time and recovery point objectives in case of incidents.
- 6) Vulnerability handling. If you discover a security issue, notify with a clear response contact.worklane@gmail.com. We review good-faith reports and prioritize fixes based on impact.
- 7) Compliance posture. Worklane is designed as “India-first, global-ready”. Formal certifications (for example, ISO, PCI, SOC) will be listed here as and when obtained.
Data Processing Addendum (Summary)
This DPA applies when Worklane processes personal data on your behalf as a processor.
- Roles. You are the data “Controller” and determine the purposes of processing. Worklane is the “Processor” and processes data only on your documented instructions, except where required by law.
- Scope & duration. Processing is limited to services described in the Terms and continues for as long as you use Worklane plus any legally required retention period.
- Sub-processors. We engage sub-processors (for example, hosting, email, logging, payments) under written contracts with data-protection obligations no less protective than this DPA. A current list is available on request.
- Security measures. We implement appropriate technical and organizational measures as described in the Security section to protect personal data against unauthorized access, loss, or misuse.
- Data subject requests. We assist you, as far as technically feasible and legally permitted, in responding to data subject requests you receive under applicable data-protection laws.
- Data breaches. We will notify you without undue delay after becoming aware of a personal-data breach affecting your data and provide information reasonably required for you to meet your legal obligations.
- International transfers. Where personal data is transferred outside its country of origin, we rely on appropriate transfer mechanisms (for example, contractual clauses) where required by law.
- Return and deletion. On your request at termination, we will delete or return personal data in our possession, except where retention is required by law or for legitimate documented purposes (for example, fraud prevention, accounting).
